Terms of Service

These Terms of Service ("Terms") govern your access to and use of the neokens platform and API services (collectively, the "Service") provided by neokens, Inc. ("neokens," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to all of these Terms, you may not use the Service.

1. Account Registration

To use the Service, you must create an account. You represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. When registering, you must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account by contacting our support team.

We reserve the right to suspend or terminate accounts that provide false information, are inactive for an extended period, or are associated with misuse of the Service.

2. API Usage Terms

neokens provides access to AI model APIs from third-party providers including OpenAI, Anthropic, and Google. By using the Service, you acknowledge that:

  • neokens acts as a reseller and intermediary for AI API access. We do not own, control, or operate the underlying AI models.
  • API responses are generated by third-party AI models and may not always be accurate, reliable, or suitable for your intended use. You are solely responsible for evaluating and acting on AI-generated outputs.
  • Availability of specific models and features depends on our agreements with upstream providers and may change with reasonable notice.
  • You must comply with the usage policies of both neokens and each upstream AI provider whose models you access through the Service.
  • API access is provided via API keys issued by neokens. You must keep your API keys confidential and must not share, distribute, or expose them in client-side code or public repositories.

3. Payment and Billing

Credit packs. The Service operates on a prepaid credit system. You purchase credit packs which are added to your account balance. Each API request consumes credits based on the model used, the number of tokens (input and output), and any applicable multipliers. Credit packs are priced as displayed on our pricing page at the time of purchase.

Auto-replenishment. You may enable automatic credit purchases when your balance falls below a threshold you define. Auto-replenishment charges are processed using the payment method on file.

Payment methods. We accept payment via credit card and other methods as displayed on the Service. All payments are processed securely through Stripe. neokens does not store your full payment card details.

Taxes. Prices displayed on the Service exclude applicable taxes unless stated otherwise. You are responsible for any taxes, duties, or levies imposed by your jurisdiction in connection with your purchases.

Billing disputes. If you believe you have been charged incorrectly, you must contact us within 60 days of the charge date. Charges not disputed within 60 days are deemed accepted.

4. Credit Packs and Multipliers

Credits represent a unit of consumption for the Service. The number of credits consumed per API request is determined by:

  • Model: Different models have different per-token credit rates. Rates are published on our pricing and model documentation pages.
  • Tokens consumed: Both input (prompt) tokens and output (completion) tokens contribute to credit consumption, generally at different rates.
  • Multipliers: Certain premium features, such as extended context windows, higher rate limits, or specialized model capabilities, may apply a credit multiplier greater than 1.0x. Multipliers are disclosed before you select the feature.

Credit balances never expire. Credits are non-transferable between accounts. We reserve the right to adjust credit rates for new purchases with 30 days' advance notice, but changes will not affect credits already purchased and held in your balance.

5. Acceptable Use

Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. Violations of the Acceptable Use Policy may result in suspension or termination of your account, forfeiture of remaining credits, and may expose you to legal liability.

6. Intellectual Property

neokens' property. The Service, including its software, documentation, branding, and underlying technology, is owned by neokens and protected by intellectual property laws. These Terms do not grant you any right to use neokens' trademarks, trade names, or service marks.

Your content. You retain ownership of the prompts and input you submit to the Service. By submitting content through the API, you grant neokens a limited, non-exclusive license to transmit your content to upstream AI providers solely for the purpose of processing your API request and returning the response.

AI-generated output. You own the outputs generated by the AI models in response to your prompts, subject to applicable law. neokens makes no warranty regarding the originality, accuracy, or intellectual property status of AI-generated outputs. You are responsible for verifying that your use of AI-generated content does not infringe on the rights of third parties.

7. Termination

By you. You may terminate your account at any time by contacting us. Upon termination, your remaining credit balance will be handled in accordance with our Refund Policy. After account deletion, we will remove your personal data as described in our Privacy Policy.

By us. We may suspend or terminate your account if you violate these Terms or the Acceptable Use Policy, engage in fraudulent activity, or if required by law. We will provide notice where practicable, except where immediate action is necessary to prevent harm or comply with legal obligations.

Effect of termination. Upon termination, your right to use the Service ceases immediately. Your API keys will be revoked, and any remaining credits are subject to our Refund Policy. Sections concerning intellectual property, limitation of liability, indemnification, and governing law survive termination.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF RESULTS. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. AI-GENERATED OUTPUTS MAY CONTAIN INACCURACIES OR HARMFUL CONTENT. YOU BEAR ALL RISK FOR YOUR USE OF SUCH OUTPUTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEOKENS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless neokens and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of a third party; or (d) content you submit through the Service.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising from or related to these Terms or the Service shall be resolved in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction and venue of such courts.

Before initiating litigation, you agree to attempt to resolve disputes informally by contacting us. If informal resolution fails, either party may proceed with formal proceedings.

12. Modifications to Terms

We may revise these Terms from time to time. We will notify you of material changes by posting the revised Terms on this page with an updated "Last updated" date and, where changes are substantive, by sending an email to the address associated with your account at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

13. General Provisions

Entire agreement. These Terms, together with the Privacy Policy, Acceptable Use Policy, Data Processing Addendum, and Refund Policy, constitute the entire agreement between you and neokens regarding the Service.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or successor without your consent.
